1. Acceptance of Terms

By accessing or using BillSherpa's services at billsherpa.com (the "Service"), you ("User," "you," or "Patient") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms govern your use of BillSherpa, a patient billing advocacy service operated by Later Today Inc. ("Company," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada. BillSherpa is a brand name of Later Today Inc. We reserve the right to update these Terms at any time. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

By checking the consent box on our intake form and submitting your medical bill, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

2. Description of Service

BillSherpa is a patient billing advocacy service. We provide:

We may add, remove, or update the regulatory frameworks we apply as laws change. We do not guarantee that our analysis reflects the most current version of any regulation at the time of your submission.

3. Eligibility and Authorised Use

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

We reserve the right to refuse service to anyone for any reason at any time.

4. Fees and Payment

4.1 Free Bill Scan

The initial bill scan — which returns the total estimated savings identified — is provided free of charge. No payment information is required to receive your estimated savings summary.

4.2 Unlock Fee

To access your full error report and dispute letter, a one-time flat fee is required:

The applicable unlock fee will be displayed to you before any payment is requested. Payment is processed securely through Stripe, Inc. We do not store your payment card information.

4.3 All Fees are in USD

All fees are quoted in United States Dollars. Currency conversion fees charged by your bank or card issuer are your responsibility.

4.4 Subscription Plans

We may offer subscription-based plans in the future. Where offered: fees will be clearly disclosed before enrollment; subscriptions auto-renew unless cancelled before the renewal date; you may cancel at any time by contacting hello@billsherpa.com with effect at the end of the current billing period; pricing changes will be communicated with 30 days written notice; failed payments may result in suspension of access.

4.5 Taxes

You are responsible for any applicable taxes, duties, or levies arising from your purchase of the Service.

5. Refund Policy

All payments are final and non-refundable once your full error report and dispute letter have been delivered. We will consider refund requests only where: you were charged more than once due to a technical error on our part; you did not receive your report within 24 hours and our support team was unable to resolve it; or a material technical failure on our part prevented report generation.

To request a refund, contact hello@billsherpa.com within 7 days of payment with your confirmation and a description of the issue. Dissatisfaction with findings or the hospital's response to your dispute letter does not constitute grounds for a refund.

6. No Guarantee of Outcome

Please read this section carefully. BillSherpa provides tools and information to assist you in disputing potential billing errors. We make absolutely no guarantee regarding whether any identified issue is an actual billing error, whether your dispute will be successful, or whether any amount will be recovered.

Medical billing is complex, provider-specific, and subject to numerous payer contracts, policies, and interpretations that are not publicly available and are beyond our ability to assess. Our analysis is based on the ten regulatory frameworks listed in Section 2.1 and may not reflect the specific circumstances, contracts, or documentation applicable to your bill. Past results do not guarantee similar results for you.

7. Accuracy and Limitations of AI Analysis

Our Service uses artificial intelligence technology to analyse your bill. You acknowledge and agree that:

8. Not Legal Advice — No Attorney-Client Relationship

Nothing in the Service — including the error report, dispute letter, regulatory citations, statute references, or any communication from BillSherpa — constitutes legal advice. No attorney-client relationship is formed between you and Later Today Inc. or any of its contractors, employees, or affiliates by your use of the Service.

The dispute letters we generate cite publicly available federal and state regulations for informational purposes. These citations are not legal opinions. If you require legal advice, please consult a licensed attorney in your jurisdiction.

9. Your Responsibilities

By using the Service, you agree to:

You are solely responsible for how you use the reports and letters we provide, including your decision to send a dispute letter and any consequences that result.

10. Intellectual Property

The Service, including its software, design, content, prompts, analysis methodology, and branding, is owned by Later Today Inc. and protected by applicable intellectual property laws. The error reports and dispute letters we generate for you are licensed to you for your personal use in connection with the specific bill you submitted. You may not resell, sublicense, or commercially distribute any output of the Service. You retain ownership of your medical bill and personal information you provide.

11. Privacy and Health Information

Your submission will contain Protected Health Information (PHI) as defined under HIPAA. Our collection, use, and protection of your PHI is governed by our Privacy Policy, incorporated into these Terms by reference. We operate as a Business Associate under HIPAA. We do not sell your PHI. We do not use your PHI to train AI models. We retain your PHI for six years as required by HIPAA and then securely destroy it.

12. Third-Party Services

The Service relies on third-party providers including payment processors, cloud storage, AI services, and PDF generation services. We are not responsible for the acts or omissions of any third-party provider. We maintain Business Associate Agreements with providers who process PHI but cannot guarantee their performance, availability, or security practices.

13. Limitation of Liability

This section limits our financial liability to you. Please read it carefully.

13.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LATER TODAY INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, DAMAGE TO CREDIT, MEDICAL COSTS, COLLECTION ACTIONS, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS.

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

13.3 Essential Basis

You acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between us.

14. Indemnification

You agree to defend, indemnify, and hold harmless Later Today Inc. and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law; any false or inaccurate information you provided to us; any dispute between you and a healthcare provider, insurer, or collection agency; or your use of any report or letter we provided.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted or error-free, that any error identified by our analysis is an actual billing error, or that any dispute letter will produce a favourable outcome.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@billsherpa.com and give us 30 days to attempt to resolve the issue informally.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association or ADR Chambers under its then-current rules, rather than in court, except as provided in Section 16.4.

16.3 Class Action Waiver

YOU AND LATER TODAY INC. EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

16.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief for matters involving intellectual property infringement, data privacy violations, or emergency relief.

16.5 Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

17. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms, suspected fraudulent activity, or discontinuation of the Service. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive.

18. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice or liability. Fee changes will be communicated on our website and will not affect orders already placed.

19. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Later Today Inc. regarding the Service.
